Terms of service

Welcome to nanosoftcryo.com (the "Site"), operated by NanoSoft, LLC ("NanoSoft," "we," "us," or "our"). By accessing or using the Site or purchasing our products, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site. 

1. Eligibility 

The Site is intended for use by adults purchasing on behalf of research institutions, laboratories, or businesses. By placing an order, you represent that you are at least 18 years old and authorized to bind the purchasing organization, if applicable. 

2. Products and intended use 

NanoSoft products are precision instruments and consumables designed for use by trained personnel in cryoEM sample preparation and related structural biology workflows. Products are intended for research use only unless expressly stated otherwise and are not intended for diagnostic, therapeutic, or clinical use. You are responsible for ensuring products are appropriate for your intended application and for training personnel in their safe use. 

3. Product information and pricing 

We take reasonable care to describe products, images, specifications, and pricing accurately, but errors may occur. We reserve the right to: 

• Correct any errors, inaccuracies, or omissions 
• Change product information, pricing, or availability at any time without prior notice 
• Limit order quantities, refuse orders, or cancel orders (including after an order has been confirmed) in the case of pricing errors, suspected fraud, export restrictions, or other legitimate reasons 

Colors and product images may vary slightly from actual products due to display differences and manufacturing variances. 

4. Orders and payment 

• All orders are subject to acceptance. An order confirmation email is not a guarantee of acceptance. 
• Prices are listed in U.S. dollars unless otherwise indicated and do not include shipping, taxes, duties, or import fees, which are added at checkout or invoiced separately. 
• For online orders, payment is due at the time of order via the payment methods offered at checkout. NanoSoft accepts Purchase Orders on credit with NET 30 payment terms only when approved in advance by NanoSoft and/or when a quote is provided in advance.
• You represent that any payment method you use is authorized and that the information you provide is accurate. 

5. Shipping and delivery 

Shipping is governed by our Shipping Policy. Title and risk of loss transfer to you upon delivery to the carrier (FedEx) unless otherwise agreed in writing. 

6. Returns 

Returns are governed by our Return and Refund Policy. 

7. Export controls and end use 

You agree to comply with all applicable U.S., EU, and international export-control, sanctions, and re-export laws. You will not export, re-export, or transfer any NanoSoft product to any prohibited country, entity, or person, or for any prohibited end use, without required government authorizations. You confirm that products purchased will be used solely for lawful research purposes. 

8. Intellectual property 

All Site content — including text, graphics, logos, product images, product designs, and software — is owned by or licensed to NanoSoft and protected by copyright, trademark, patent, and other laws. You may not copy, reproduce, modify, distribute, or create derivative works from any Site content without our prior written consent, except for personal, non-commercial reference. "NanoSoft" and related marks are trademarks of NanoSoft, LLC. 

9. Acceptable use 

You agree not to: 

• Use the Site for any unlawful purpose or in violation of these Terms 
• Attempt to gain unauthorized access to the Site, accounts, or systems 
• Interfere with the Site's operation, security, or other users 
• Use automated systems (bots, scrapers, harvesters) except as expressly permitted 
• Submit false, misleading, or infringing content 

10. Accounts 

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@nanosoftcryo.com of any unauthorized use. 

11. Third-party links and services 

The Site may link to third-party websites or services (including Shopify, payment providers, and FedEx). We are not responsible for the content, policies, or practices of third parties, and your use of those services is governed by their own terms. 

12. Disclaimers 

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. 

Written product warranties, where offered, are stated on the applicable product page or in accompanying documentation and are the sole warranties applicable to those products. 

13. Limitation of liability 

TO THE FULLEST EXTENT PERMITTED BY LAW, NANOSOFT AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, RESEARCH RESULTS, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SITE, PRODUCTS, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO NANOSOFT FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM. 

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. 

14. Indemnification 

You agree to indemnify and hold harmless NanoSoft and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right. 

15. Governing law and disputes 

These Terms are governed by the laws of the State of Rhode Island, USA, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Rhode Island for any dispute not subject to arbitration or small-claims proceedings, and waive any objection to venue in those courts. For customers in the EU/EEA, mandatory consumer-protection rights of your country of residence are not affected. 

16. Changes to these Terms 

We may update these Terms from time to time. Material changes will be posted with a new effective date. Continued use of the Site after changes take effect constitutes acceptance. 

17. Miscellaneous 

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. These Terms, together with our other policies referenced here, constitute the entire agreement between you and NanoSoft regarding the Site and supersede prior agreements on the subject.
